Board & CEO Evaluations
The Anderson Governance Group’s board and CEO evaluation process is designed to enhance board and organizational performance. It focuses on value-adding thoughts and behaviour of directors, the culture they create, and their relationships with each other, their CEO and executive team, and other key stakeholders. It is not a legal or audit-based compliance review.
Our process offers a means to test and align the purpose, performance and priorities of the board and the organization firstly among directors themselves, and moving beyond the board with other key constituents (over time) within the corporate leadership environment – management and key stakeholders (e.g., institutional investors) more broadly.
This process provides a unique opportunity for the board and management team to gain important performance feedback to strengthen relationships and focus on matters of relevance to creating value:
- Leadership (e.g., performance management, succession, compensation);
- Business (e.g., strategy and risk, plans and operations, financial management); and
- Stakeholders (e.g., engagement and accountability).
The outcome of our board and CEO evaluation process is an integrated set of actionable priorities for the coming year for the board as a whole, its chair and committees, the CEO and individual directors. Priorities set this year provide a basis of performance review the next year.
The specific components of the process are agreed upon with Board Chair and Corporate Governance Committee, in light of the value sought by the board, the board’s appetite for feedback from executives and investors, and desire to vary the process on a multi-year cycle.
